BinBoss Subscription Purchase Agreement

1. The agreement

This Subscription Purchase Agreement (the "Agreement") is entered into between BinBoss ("we", "us") and the person or business that purchases a BinBoss subscription ("you", "Customer"). By checking the acceptance box at checkout, you agree to this Agreement for the workspace named in your signed record.

The person accepting confirms they are at least 18 years old and authorised to bind the business that owns the workspace.

2. What you are buying

BinBoss is a subscription software service for live sellers: buyer-to-box routing, thermal label printing, packing slips, fulfillment tracking, sales and profit reporting, and related tools described on the plan you select.

Your plan determines your feature entitlements — seats, printers, live shows per month, history retention and optional modules. Entitlements apply immediately when a plan is selected or changed.

3. Subscription term and recurring billing

Subscriptions are sold on a recurring basis and renew automatically at the end of each billing period — monthly on the same day each month, or annually on the same date each year — until cancelled.

By subscribing you authorise us and our payment processor to charge your payment method the then-current plan price, plus any applicable taxes, on each renewal date without further notice.

Prices are shown in the currency displayed at checkout. We may change plan pricing with at least 30 days' notice before the change takes effect on your next renewal.

4. Free trials and discount codes

The BinBoss free trial does not require a payment method. We do not collect or store card details to start a trial.

Because no card is collected, a trial never converts to a paid subscription automatically and you are never charged when it ends. At the end of the trial your workspace moves to read-only access until you choose a plan and complete checkout.

Recurring billing under section 3 begins only after you select a paid plan, accept this Agreement at checkout and enter a payment method.

Free trials are limited to one trial per person, business and email address. Creating additional accounts to obtain repeat trials is a breach of this Agreement and may result in suspension.

Discount codes are applied to the plan price for the period stated with the code and may be withdrawn or expire; they are not redeemable for cash.

5. Cancellation and refunds

You may cancel at any time from Billing. Cancellation takes effect at the end of the current paid period; you keep access until then and are not charged again.

Except where required by law, payments already made are non-refundable, including for partial periods, unused seats, or periods where you did not use the service.

We may suspend or terminate an account for non-payment, fraud, abuse of trials or discount codes, or breach of this Agreement.

6. Payment processing and taxes

Payments are handled by our payment processor. We do not store full card numbers. You are responsible for keeping a valid payment method on file.

If a charge fails, we may retry it and may restrict access until payment clears. Prices exclude sales tax, VAT and similar taxes unless stated otherwise; those are added at checkout where applicable.

7. Your data and acceptable use

You own the data you enter into BinBoss — shows, buyers, sales, photos and reports. We process it to run the service for you and to keep the platform secure.

You agree not to resell or share access outside your licensed seats, reverse engineer the service, use it for unlawful sales, or upload content you do not have the rights to.

You are responsible for the accuracy of buyer and marketplace data you enter, and for complying with the rules of the marketplaces you sell on.

8. Service availability and limits of liability

We work to keep BinBoss available, but the service is provided "as is" without warranty of uninterrupted or error-free operation, including printing, hardware and marketplace integrations.

To the maximum extent permitted by law, our total liability arising out of this Agreement is limited to the amount you paid for the subscription in the twelve months before the claim.

We are not liable for indirect or consequential losses, including lost sales, mis-shipped orders, or marketplace penalties.

9. Changes to this agreement

We may update this Agreement. Material changes are notified in the app, and continued use after the effective date — or your next renewal — constitutes acceptance of the updated version.

Each acceptance is recorded with its version, the accepting account and a timestamp, and is available to you and to BinBoss as the signed record of your purchase.
