BinBoss Terms & Conditions

Effective date: [PLACEHOLDER — effective date to be set on publication]

These terms apply to everyone who uses BinBoss. Paid subscriptions are also covered by the Subscription Purchase Agreement, and personal data is handled as described in the Privacy Policy.

1. About these terms

These Terms & Conditions (the "Terms") govern your access to and use of the BinBoss web application, the BinBoss Desktop Print Agent and Desktop Auction Browser, and related services (together, the "Service"). By creating an account, subscribing, or using the Service you agree to these Terms.

The BinBoss Subscription Purchase Agreement applies in addition to these Terms for paid subscriptions. Where the two documents cover the same subject, the Subscription Purchase Agreement governs the commercial terms of your purchase.

The person accepting confirms they are at least 18 years old and, where they act for a business, that they are authorised to bind that business.

2. What BinBoss does

BinBoss is seller workflow software for live and online sellers. Depending on your plan and configuration, the Service may include: automatic and manual sale detection from connected or monitored marketplace sessions; buyer-to-box assignment and routing; organisational label and packing slip printing; buyer, box and item records; a fulfillment and exceptions workflow; sales, profit and platform reporting; and AI-assisted promotional content and graphics for your shows.

Feature availability depends on your plan entitlements, the marketplaces you use, and whether you run the BinBoss desktop components. Features described on marketing pages as planned, beta, or coming next are not guaranteed and may change or be withdrawn.

3. BinBoss is an independent service

BinBoss is an independent product. It is not affiliated with, endorsed by, sponsored by, or certified by Whatnot, eBay, TikTok, Poshmark, District, or any other marketplace, unless a documented written agreement between BinBoss and that marketplace expressly says otherwise.

Marketplace names and logos appear only to identify platforms our customers sell on. Mentioning a platform does not mean an official integration, partnership, or API access exists for that platform.

Marketplace support may be provided through official APIs, approved webhooks, session-based detection, manual entry, or file import. The method used affects reliability and may change at any time.

4. Marketplace rules are your responsibility

You must comply with the terms of service, seller policies, developer terms, and technical restrictions of every marketplace you use with BinBoss, and you must have any permissions those platforms require.

Nothing in these Terms and no feature of the Service grants you permission to bypass a marketplace's access controls, rate limits, authentication, scraping restrictions, or other platform rules. If a marketplace prohibits a use, you must not use BinBoss for that purpose.

You are responsible for the consequences of your use of the Service on any marketplace, including account restrictions imposed on you by that marketplace.

5. Limits of automation

Automatic sale detection, buyer-to-box assignment, print queuing, and printing are best-effort. Events can be delayed, missed, duplicated, out of order, or inaccurate, including because of network conditions, marketplace changes, device sleep, or software errors.

Compatibility can break without notice when marketplaces change their pages or APIs, or when your browser, operating system, printer drivers, or hardware change.

BinBoss is a workflow aid, not a system of record for marketplace transactions. Do not rely on it as your only source of order truth.

6. Your responsibilities as a seller

You are responsible for verifying buyer identities and handles, item details, prices, box assignments, label contents, packing contents, and shipment information before you ship.

The records of the marketplace where the sale occurred remain the authoritative source for that transaction, including buyer, price, and order status.

You are responsible for the accuracy of any data you enter or import, and for resolving discrepancies with your buyers and marketplaces.

7. Printing and labels

BinBoss prints organisational output: buyer/box labels, item labels, high-value and summary labels, and packing slips. These are internal sorting and packing aids.

Organisational labels are not carrier shipping labels and do not purchase, contain, or represent postage. Printing an organisational label does not create a shipment, buy postage, or notify a carrier. Shipping labels and postage must be purchased through your marketplace or carrier.

Print reliability depends on your printer, drivers, and whether the BinBoss desktop agent is running. Print jobs may fail, repeat, or require reprinting.

8. Accounts and team access

You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account and workspace.

Workspace owners and managers control who is invited, what role each member holds, and when access is removed. You are responsible for the actions of the people you grant access to, and for removing access promptly when someone leaves your team.

Seat, printer, and other limits are set by your plan. Sharing a single seat among multiple people to avoid seat limits is not permitted.

Tell us promptly at the support contact in section 16 if you believe your account has been accessed without authorisation.

9. Subscriptions, billing and trials

Paid plans are sold as recurring subscriptions billed monthly or annually, in the currency shown at checkout, and renew automatically on the same interval until cancelled. The plan, amount, currency, interval and any trial end date are displayed to you immediately before purchase, and you authorise that recurring charge as part of checkout.

Applicable sales tax, VAT or similar taxes are added where required and are shown by our payment processor at checkout. Optional add-ons, such as AI Campaign Boost, bill as separate recurring subscriptions on the same interval you select.

Free trials do not require a payment method. Because no card is collected, a trial never converts to a paid subscription automatically and you are never charged when it ends. At the end of a trial your workspace moves to restricted access until you choose a plan and complete checkout. Recurring billing begins only after you select a paid plan and complete checkout.

Free trials are limited to one per person, business and email address. Discount codes apply for the period stated with the code, may be withdrawn or expire, and are not redeemable for cash.

You can cancel at any time from Billing, either by switching on cancel-at-period-end or through the billing portal linked from Billing. Cancellation takes effect at the end of the current paid period; you keep access until then and are not charged again.

Except where required by law, payments already made are non-refundable, including for partial periods, unused seats, and periods you did not use.

We may change plan pricing with at least 30 days' notice before the change applies to your next renewal. Your subscription is confirmed by verified events from our payment provider, not by returning from the checkout page; if a payment fails, the subscription is not activated and access may be restricted until payment clears.

10. AI-generated content

AI features produce draft promotional text, captions, schedules and graphics. Generated material can be inaccurate, misleading, or may resemble content in which a third party holds rights.

You must review, edit and approve every AI output before you publish or send it, and you are solely responsible for what you publish.

We make no promise that AI content, or the Service generally, will increase attendance, followers, sales, or profit.

If you use AI output for marketing messages, you are responsible for having the permissions and consents required for the channel you send on, for honouring opt-out requests, and for complying with applicable marketing and advertising law.

11. Data and privacy

You must have the right and any required permission to upload, enter or process the data you put into BinBoss, including buyer names, handles, contact details, addresses, photos, and order data.

Our handling of personal data is described in the BinBoss Privacy Policy, which forms part of these Terms by reference.

We use third-party processors to operate the Service, including hosting and database infrastructure, payment processing, email delivery, and AI model providers for AI features. The Privacy Policy identifies these categories; refer to it rather than to these Terms for current details.

[PLACEHOLDER — data retention periods, deletion timelines, and any commitments regarding use of customer data for model training to be confirmed against actual practice and stated here or in the Privacy Policy before publication.]

12. Acceptable use

You must not use the Service to commit or facilitate fraud, to collect personal data unlawfully or without a lawful basis, to gain unauthorised access to any system or account, to send spam or unsolicited bulk messages, or to infringe intellectual property or other rights.

You must not attempt to interfere with the security, integrity or availability of the Service, probe or test its defences without permission, reverse engineer it except to the extent that restriction is unenforceable by law, or resell or share access outside your licensed seats.

We may investigate suspected misuse and may suspend access where we reasonably believe these rules have been broken.

13. Ownership of content and the Service

You retain all rights in the content and data you upload or create in BinBoss. You grant us only the rights reasonably necessary to host, process, transmit, back up, display and otherwise operate the Service for you, and to comply with law.

BinBoss, its software, designs, and documentation remain our property. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

If you send us feedback or suggestions, we may use them to improve the Service without obligation to you.

14. Availability, changes, suspension and termination

We may perform maintenance, update features, and change or discontinue marketplace integrations and other functionality. We aim to give reasonable notice of material reductions in functionality where practical.

We may suspend or terminate access for non-payment, suspected fraud or abuse, abuse of trials or discount codes, security risk, legal requirement, or material breach of these Terms.

You may stop using the Service and cancel your subscription at any time. On cancellation, access continues to the end of the paid period; on termination for breach, access may end immediately and no refund is due except where required by law.

After an account closes, exported data should be retrieved in advance where possible; continued access to historical data is not guaranteed once the subscription ends. [PLACEHOLDER — post-termination data availability window to be confirmed before publication.]

15. Warranties, liability and indemnity (attorney review required)

Except as expressly stated and to the extent permitted by law, the Service is provided "as is" and "as available", without warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation, including of detection, routing, printing, hardware and marketplace integrations.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, and any statutory or consumer rights you have that cannot be waived. If you are a consumer, you keep all mandatory consumer rights under the law of your country of residence.

Subject to the paragraph above, and to the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms is limited to the amounts you paid for the Service in the twelve months before the event giving rise to the claim, and we are not liable for indirect or consequential loss, including lost sales, mis-shipped orders, or marketplace penalties.

You agree to indemnify us against third-party claims arising from your unlawful use of the Service, your breach of marketplace rules, or content you publish, except to the extent the claim results from our own breach or negligence.

[PLACEHOLDER — final warranty, liability cap, and indemnity wording, including any jurisdiction-specific carve-outs, to be settled by a qualified attorney before publication.]

16. Disputes, governing law and contact

[PLACEHOLDER — legal entity name and company/registration number.]

[PLACEHOLDER — registered business address.]

[PLACEHOLDER — governing law.]

[PLACEHOLDER — venue / forum for disputes. No arbitration clause or class-action waiver is included in this draft; if either is intended, it must be drafted and reviewed by a qualified attorney.]

[PLACEHOLDER — official support and legal notice contact address.] Billing questions are currently handled through the support page in the app.

We may update these Terms. Material changes are notified in the app; continued use after the effective date of an update, or your next renewal, constitutes acceptance of the updated version. Each acceptance is recorded with its version, the accepting account and a server timestamp.

Subscribing? You'll be asked to accept these terms and a few acknowledgments in Billing before checkout.
